Important: ShareAuto is currently in MVP (Minimum Viable Product) / Beta stage. Please read these Terms carefully. By using the Platform, You acknowledge that this is an early-stage, free-to-use technology platform provided "as is" with no commercial fee, commission, or payment processing involved.

This Site/Application/Services is/are operated/provided by ShareAuto (hereinafter referred to as "ShareAuto", "we", "us", or "our").

These terms and conditions ("User Terms") apply to Your visit to and use of the Site, whether through a computer or a mobile phone, the Service and the Application, as well as to all information, recommendations and/or services provided to You on or through the Site and the Application. This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable.

By clicking on the "I ACCEPT" button, by registering on the Site, or by using ShareAuto's services, You are acknowledging and consenting to be bound by these User Terms. PLEASE ENSURE THAT YOU READ AND UNDERSTAND ALL THESE USER TERMS BEFORE YOU USE THE SITE. If You do not wish to accept any of the User Terms, then please do not use the Site or avail any of the services being provided therein.

YOUR AGREEMENT TO THESE USER TERMS SHALL OPERATE AS A BINDING AGREEMENT BETWEEN YOU AND SHAREAUTO IN RESPECT OF THE USE AND SERVICES OF THE SITE. Your acceptance of the User Terms shall be deemed to include your acceptance of our Privacy Policy available at https://shareauto.in/privacy.

1. DEFINITIONS

All of the defined and capitalized terms in these User Terms will have the meanings assigned to them below:

"Account" shall mean the account created by the Customer or Driver on the Application.
"Applicable Laws" shall mean all applicable statutes, enactments, acts, laws, rules, regulations, notifications, guidelines, and orders of any governmental authority, tribunal, or court of India.
"Application" shall mean the ShareAuto web application and mobile application, updated by ShareAuto from time to time.
"City of Operation" shall mean a city in which the Customers and Drivers avail and render transportation services respectively.
"Customer" or "You" or "User" means a person who has an Account on the Application as a passenger.
"Driver" means independent third-party auto-rickshaw operators registered with ShareAuto.
"Force Majeure Event" shall mean any event arising due to any cause beyond the reasonable control of ShareAuto.
"MVP" or "Beta" shall mean the current stage of the Platform where features may be limited, experimental, or under development.
"Registration Data" shall mean the present, valid, true and accurate name, email ID, phone number, password, and such other information required for registration.
"Ride" shall mean the travel in a Vehicle by the Customer, where the Customer and Driver have been brought into contact through the Site.
"Service(s)" means the facilitation of contact between Customers and Drivers by ShareAuto through the Application or the Site.
"Site" shall mean the Application and the website https://shareauto.in.
"Vehicle" shall mean an auto-rickshaw or motor cab as defined under the Motor Vehicles Act, 1988.

2. MVP & BETA DISCLAIMER

IMPORTANT — PLEASE READ CAREFULLY:
ShareAuto is currently operating in MVP (Minimum Viable Product) / Beta stage. This section defines the nature and scope of our current Services, which differ materially from fully-launched commercial ridesharing platforms.

2.1 You acknowledge and agree that:

The Platform is provided on a completely FREE basis to both Customers and Drivers;
We do NOT charge any commission, subscription, transaction fee, or fee of any kind from Users or Drivers for use of the Platform;
We are purely a technology platform that facilitates discovery and visibility of nearby share-autos;
As an MVP platform, some features may be limited, experimental, buggy, or under active development;
Service availability, features, and functionality may change or be withdrawn at any time without notice.

2.2 What ShareAuto Does:

Shows Drivers the approximate location of Users seeking rides;
Shows Users the approximate location of nearby Drivers;
Provides Drivers with visibility ("leads") to potential passengers;
Allows both parties to connect at their own discretion.

2.3 What ShareAuto DOES NOT Do:

Book rides on behalf of Users;
Process, handle, or mediate any payments;
Guarantee ride availability or matching;
Employ, control, supervise, or manage Drivers;
Set, negotiate, or enforce fares;
Provide transportation services;
Vet, endorse, or guarantee any Driver or Vehicle;
Conduct criminal background checks or safety history reviews of Drivers.

2.4 Any fare negotiation, payment collection, ride agreement, and service quality is STRICTLY between the User and Driver directly. ShareAuto has NO commercial interest in any individual Ride, takes no commission, and does not participate in any transaction between the parties.

3. ELIGIBILITY

You will be "Eligible" to use the Services only when You fulfil all of the following conditions:

You have attained at least 18 (eighteen) years of age.
You can enter into a contract under the Applicable Laws.
You are a resident of India or are lawfully present in India.

4. REGISTRATION AND ACCOUNT

4.1 You understand and acknowledge that You can register on the Site only by entering Your Registration Data.

4.2 You shall ensure that the Registration Data provided by You is accurate, complete, valid, true, and is updated from time to time.

4.3 You are solely responsible for maintaining the confidentiality of Your Registration Data and will be liable for all activities and transactions that occur through Your Account.

4.4 We reserve the right to suspend or terminate Your Account with immediate effect if the Registration Data is incorrect or false, or if security of Your Account has been compromised.

4.5 You agree to comply with all applicable laws when using the Services.

4.6 We allow you to open only one Account per Registration Data. In case of any unauthorized use of Your Account please immediately reach us at shareauto33@gmail.com.

5. NATURE OF SERVICES — INTERMEDIARY PLATFORM

5.1 The Services constitute a technology platform that enables Customers to locate and connect with Drivers providing share-auto transportation services in their vicinity. YOU ACKNOWLEDGE THAT SHAREAUTO DOES NOT PROVIDE TRANSPORTATION SERVICES OR FUNCTION AS A TRANSPORTATION CARRIER AND THAT ALL SUCH TRANSPORTATION SERVICES ARE PROVIDED BY INDEPENDENT THIRD-PARTY DRIVERS WHO ARE NOT EMPLOYED BY SHAREAUTO.

5.2 Safe Harbour Under IT Act, 2000: ShareAuto operates as an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000 and is entitled to the protections available under Section 79 of the said Act. As an intermediary:

ShareAuto does not initiate the transmission, select the receiver, or select or modify the information contained in any User-Driver communication;
ShareAuto is not responsible for the content, quality, accuracy, or legality of any Ride arranged through the Platform;
ShareAuto observes due diligence while discharging its duties as an intermediary.

5.3 The Services allow You to view Drivers in Your vicinity on a real-time map. The Driver has sole and complete discretion to accept or decline any request for Service.

5.4 ShareAuto does not guarantee the availability of a Driver at any particular time.

5.5 By using the Application or the Service, You agree that:

You will only use the Service for Your sole, personal use;
You will not use the Service for unlawful purposes;
You will not try to harm the Service, Site or our network in any way;
You will comply with the Information Technology Act, 2000 and all Applicable Laws.

6. LOCATION SERVICES & CONSENT

6.1 ShareAuto's core Service is location-based. By using the Service, You explicitly consent to:

The collection, processing, and sharing of Your real-time GPS location while You are actively using the Application;
The broadcasting of Driver GPS locations to nearby Customers when Drivers are in "online" mode;
The automatic termination of location broadcasting when You close the Application or log out.

6.2 You may disable location services at any time through Your device settings or by logging out; however, ShareAuto's Services cannot function without access to location data.

7. DRIVER VERIFICATION DISCLAIMER

IMPORTANT: While ShareAuto collects basic registration information from Drivers, You must NOT rely solely on our Platform for your safety assessment of any Driver.

7.1 As part of the Driver registration process, ShareAuto may collect information including name, phone number, email, residential address, driving license number, and vehicle registration number.

7.2 ShareAuto does NOT:

Conduct criminal background checks on Drivers;
Verify Driver safety or driving history;
Monitor Driver conduct during Rides;
Physically verify original documents (save where specifically undertaken);
Guarantee Driver identity beyond submitted documents;
Verify the insurance status or roadworthiness of any Vehicle.

7.3 Users are strongly advised to:

Verify that the Driver's photo and Vehicle registration number match what is displayed in the Application before boarding;
Share trip details with family or friends;
Inform a trusted person of your destination and expected arrival time;
Report any suspicious activity to the local police (Dial 100 / 112) FIRST, and then notify us at shareauto33@gmail.com;
Exercise the same caution as You would when hiring any transportation service.

8. INDEPENDENT CONTRACTOR RELATIONSHIP

8.1 Drivers using the Platform are INDEPENDENT CONTRACTORS and NOT employees, agents, partners, or representatives of ShareAuto.

8.2 This means:

Drivers are solely responsible for their own taxes, insurance, vehicle maintenance, permits, and legal compliance;
Drivers set their own working hours and decide whether to accept Ride requests;
Drivers may use other platforms simultaneously;
ShareAuto provides no employment benefits, health insurance, vehicle insurance, legal protection, or worker protections;
Any agreement between a User and Driver (including the Ride itself) is solely between those two parties.

9. PAYMENT DISCLAIMER

Current Position: ShareAuto currently does NOT process, handle, or mediate any payments in any form.

9.1 All fare payments are made directly between User and Driver in cash, UPI, or any other mode as mutually agreed.

9.2 ShareAuto:

Has no knowledge of, or involvement in, any payment transaction;
Does not set, recommend, negotiate, or enforce fares;
Does not collect any commission, transaction fee, or percentage;
Is not a payment aggregator, payment gateway, or financial intermediary.

9.3 Payment disputes must be resolved directly between User and Driver. ShareAuto will not mediate payment-related disagreements, refund requests, or fare disputes.

9.4 If ShareAuto introduces payment features in the future, these Terms will be updated, and You will be notified.

10. USER CONDUCT AND VIOLATIONS

10.1 You shall not smoke, consume alcohol, or carry any contraband substances in the Vehicles, nor misbehave with the Driver or other passengers, distract the Driver, or act in violation of Applicable Law.

10.2 You agree to treat Drivers and fellow passengers with respect and dignity, without discrimination on the basis of race, religion, caste, gender, gender identity, sexual orientation, disability, or any other protected characteristic.

11. NO LIABILITY FOR PEER-TO-PEER DISPUTES

11.1 Since ShareAuto merely connects Users and Drivers (in a manner similar to how a telephone directory or classified listing connects people), we are NOT responsible for:

The quality or outcome of any Ride;
The conduct, behaviour, or actions of either party before, during, or after a Ride;
Any monetary or fare disputes between User and Driver;
Any verbal or written agreements made between User and Driver;
Items exchanged, including lost or stolen belongings;
Delays, route disputes, or service quality issues;
Any physical, emotional, financial, or reputational harm arising from the interaction.

11.2 Any dispute between a User and a Driver is a private matter between those parties, to be resolved directly between them or through the appropriate law enforcement or judicial authorities.

12. CUSTOMER SUPPORT & FEEDBACK

12.1 All issues, opinions, suggestions, questions and feedback can be communicated via the Application, the website, or by email to shareauto33@gmail.com.

12.2 Reporting of any issue needs to be within 30 (thirty) days of the happening of the issue.

12.3 ShareAuto shall endeavour to respond to Your issues within 7 (seven) working days. As an MVP platform, support response times may vary.

13. FORCE MAJEURE

13.1 ShareAuto shall not be liable for any failure to perform any obligations under these User Terms if the performance is prevented, hindered or delayed by a Force Majeure Event.

14. INDEMNIFICATION

14.1 You agree to defend, indemnify and hold harmless ShareAuto, its officers, directors, employees, contractors and agents from and against any claims, actions or demands, including reasonable legal fees, arising from your breach of these Terms, your use or misuse of the Application, your interaction with any Driver or User, or your violation of any rights of a third party.

15. LIABILITY

15.1 The information, recommendations and/or Services provided to You on or through the Site and the Application are for general information purposes only and do not constitute advice.

15.2 ShareAuto shall not be liable for You missing trains, flights, events, appointments or any delays.

15.3 SHAREAUTO IS A TECHNOLOGY PLATFORM ONLY AND IS NOT A TRANSPORTATION CARRIER. ShareAuto does not own, operate, or control any Vehicles, nor does it employ any Drivers. Accordingly, ShareAuto is not responsible for:

The conduct, actions, or inactions of Drivers or fellow passengers;
Accidents, injuries, deaths, or damages arising during or after a Ride;
Theft, loss, or damage to personal belongings before, during, or after a Ride;
Disputes between You and a Driver, including fare disputes;
The condition, safety, roadworthiness, or legal compliance of Vehicles;
Insurance claims of any kind;
Traffic violations, fines, or legal liabilities of Drivers;
Vehicle breakdowns or service interruptions;
Any criminal acts committed by Drivers, Users, or third parties.

15.4 No Insurance Provided: ShareAuto is not engaged in the insurance business and does not provide any insurance services or coverage. Any accident, injury, damage, or loss suffered during or in connection with a Ride is a matter between the Customer, the Driver, and their respective insurance providers.

15.5 In no event shall ShareAuto be liable for any direct, indirect, punitive, incidental, special or consequential damages whatsoever.

15.6 To the fullest extent permitted by Applicable Law, in no event will ShareAuto's aggregate liability arising out of or in connection with these User Terms or the Services rendered hereunder exceed the amount of Rs. 1,000/- (Rupees One Thousand only).

16. APPLICATION LICENSE

16.1 Subject to Your compliance with these User Terms, ShareAuto grants You a limited, revocable, non-exclusive, non-transferable license to use the Application.

16.2 You shall not: (i) commercially exploit the Service or Site; (ii) modify or make derivative works; (iii) reverse engineer the Site to build a competitive product; (iv) launch any automated program, bot, or scraper against the Site.

17. INTELLECTUAL PROPERTY

17.1 ShareAuto alone (and its licensors, where applicable) shall own all rights, title and interest in and to the Site, Application, Service, and all related intellectual property.

17.2 The name "ShareAuto", the ShareAuto logo, and the domain "shareauto.in" are trademarks of ShareAuto. Unauthorized use is strictly prohibited.

18. TERM AND TERMINATION

18.1 Unless terminated explicitly, the agreement between ShareAuto and You is perpetual upon creation of Your Account.

18.2 You may terminate the agreement at any time by deletion of Your Account.

18.3 ShareAuto may terminate the agreement at any time and with immediate effect if You (a) violate any term of these User Terms, or (b) misuse the Application or Service.

18.4 Clauses 11 (Peer-to-Peer Disputes), 14 (Indemnification), 15 (Liability), 16 (Application License), 17 (Intellectual Property), 23 (Applicable Law), and such other provisions intended to survive termination, shall survive the expiry/termination of these User Terms.

19. DISCLAIMER

19.1 ShareAuto is merely an electronic platform to facilitate connection between Customers and Drivers. ShareAuto does not endorse, advertise, advise or recommend You to avail the Services of any Driver.

19.2 This Site, Application and all content are provided on an "as is" and "as available" basis without warranties of any kind. As an MVP/Beta platform, You acknowledge that the Platform may contain bugs, errors, or incomplete features.

19.3 ShareAuto makes no warranty that the Services will be uninterrupted, timely, secure, or error-free.

20. MODIFICATION OF SERVICE AND USER TERMS

20.1 ShareAuto reserves the right to modify or replace any of these User Terms at any time. The revised User Terms shall be made available on the Site. Your continued use of the Site following changes will constitute Your acceptance of those changes.

21. NOTICE

21.1 ShareAuto may give notice by means of a general notice on the Service or Application, by electronic mail to Your email address, or by SMS/message to Your registered mobile number.

22. ASSIGNMENT

22.1 You shall not assign Your rights under these User Terms without prior written approval of ShareAuto.

23. APPLICABLE LAW AND DISPUTE RESOLUTION

23.1 These User Terms are subject to the laws of India.

23.2 Any dispute arising out of or relating to these User Terms (collectively, "Disputes"), excluding peer-to-peer disputes between Users and Drivers (which are to be resolved directly between such parties), shall first be attempted to be settled amicably through negotiation.

23.3 If not resolved amicably within 30 (thirty) days, the dispute shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996. Place of arbitration: Chennai, Tamil Nadu.

23.4 Subject to the above, any Dispute will be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu, India.
